Delegate Vote January 25, 2026 The National Retriever Club of Canada (NRCC) proposed bylaw changes: Proposed Change to the NRCC Club Policies and Procedures, the section titled Meetings with subsection Responsibilities of a Proxy The proxy representative may carry the proxy vote for one (1) member club.Background: With current electronic communication applications, the ability to hold meetings via an on screen format has decreased the need to have member meetings take place in person and therefore decreased the need for a proxy representative being allowed to carry up to three (3) member proxy votes.YesNoProposed Bylaw: 5.02 Number of Directors For the purpose of the election of the directors, Canada shall be divided into the following eight areas: 1- Nova Scotia & Newfoundland, New Brunswick & PEI, 2- Quebec, 3- Northern Ontario 4. Southern Ontario 5. Manitoba 6. Saskatchewan 7.Alberta/NWT/Nunavut 8. British Columbia & YukonBackground: After reviewing feedback from the region, it is recommended that the Maritime provinces—Prince Edward Island, New Brunswick, Nova Scotia, and Newfoundland and Labrador—be combined into a single zone. Currently, there are four field trial clubs spread across three of these provinces. The proposal is to reduce the number of zones in Canada from nine to eight, effective January 2026. 1. After a two-year project by the Executive committee that included reviewing best practices by other national organizations and gathering input from member clubs, it is proposed that the formula to elect the number of directors from each area for the NRCC Board be revised to one director per zone. This would reduce the number of director positions from 18 to 8. The process to nominate and elect directors will not change and will remain with the Class A Voting Members.YesNoProposed Change to Bylaw 5.08 Filling a Vacancy sub section 3 and renumbering subsections within 5.08 It is proposed the following Bylaw be amended: 3. Where there is less than six (6) months remaining until the next annual meeting of members, AND there is at least one remaining director for the region, the position will remain vacant until the next annual meeting of members. Subsection 3 be removed and renumber the remaining subsections within 5.08Background: With the changes to Bylaw 5.02 the number of Directors subsection 3 is no longer applicable as each area will have no more than One (I) Director.YesNo6.03 Quorum - A quorum at a meeting of the Board for the purpose of transacting business shall be a majority of the directors six (6) of eight (8) 75% directors . If a quorum is present at the opening of a meeting of the Board, the Board may proceed with the business of the meeting even if a quorum is not present throughout the meeting.Background: A proposal has been made to define the quorum as the number of elected directors. This will clearly specify the required number of directors present at the start of a board meeting. Current Bylaw: 6.03 A quorum at a meeting of the Board for the purpose of transacting business shall be a majority of the directors. This has not been written into the By Laws of the National Retriever Club of Canada. Also add the following: 7.01 e) The Executive committee positions are the President, 1st Vice President, Second Vice President and Past President.Background: The current written Bylaw states the term of the Officers to be two consecutive one – year terms. This term does not apply to the appointed Secretary and Treasurer positions. A description of what the Secretary and Treasurer terms are needs to be defined.
